Business Valuation, Acquisition and Exit Strategies - Part Two

This half-day seminar will start with a presentation by Cathy Durham, Principal and Vice President of Capital Valuation Group, Inc. Ms. Durham has specialized in assisting the owners and advisers of closely held businesses in the areas of valuation and litigation support for more than fifteen years. Her background includes more than 20 years of owning, selling, managing, and serving as a director of manufacturing, retail, and service businesses. Ms. Durham has provided expert testimony in state and federal courts, has taught seminars, and co-authored the firm’s publication titled An Introduction to Business Valuation. During the seminar, we will take a practical look at business valuation--what matters, what doesn’t, and examine the most frequent mistakes made in valuing closely held businesses.

During the second half of the seminar, Scott Bushkie and Stephen Z. Royko of Cornerstone Business Services, Inc. will speak about whether you are looking to acquire a company, to grow your business, or considering your exit strategy (and you should regularly consider your exit strategy). What you should be thinking about may surprise you in its similarity. As business owners we are involved in the transition of our businesses; investigate with Scott and Stephen what brings the most value to your strategy. They will explore the areas to review to build value in your business. Some of their talking points will include: business plans, customer diversification, cash flow, and numerous others.

In just seven years, Scott Bushkie started his company and turned it into one of the largest lower-middle market mergers and acquisitions firms in the Midwest. Scott founded Cornerstone Business Services, Inc. in the economic tumult of 2001. His refreshing approach to clients of quality versus quantity, garnered immediate business; and revenues that grew more than 540% by 2006. Royko is an M&A Advisor and Managing Director of Cornerstone Business Services, Inc.. He has nearly ten years of experience in business planning and development, providing strategic leadership to companies in a variety of industries and stages.

The last half hour of the seminar will focus on financing alternatives for business acquisition. Mark Meloy, President & CEO, and Dennis Sampson, Senior Vice President, of First Business Bank will discuss various options available for business acquisition including: traditional commercial lending, mezzanine financing, and asset-based lending. Mark has 25 years of banking experience, including specialized work in commercial lending as well as in mergers and acquisitions. Dennis has 19 years of commercial lending experience, focusing on owner-managed businesses in manufacturing, real estate development, and construction.
